Legal Vocabulary Valentine Poem

(hereinafter referred to as “LVVP”)

If you were a revolving credit facility 
I would draw you down in tranches every day.
There would be no event of default in our life
Our unencumbered existence as husband and wife.  

If you were a limitation period
You would last until the end of time. 
My judgment is final, no need to appeal
You are the law I will never repeal. 

If you were my wholly-owned subsidiary
I would never sell my shares in you
Nor grant pre-emption rights.
To prevent a hostile take-over of you, I would put up a fight.  

In the contract that binds us, any breach can be cured right from the start
We irrevocably and unreservedly waive our rights to be apart.
Any disputes will be resolved not by litigation or arbitration
But by sitting together in loving conciliation.

Our love is not charged on an hourly rate.
Our feelings cannot be measured by a fee estimate.
Since we first instructed each other with an engagement letter
Our relationship has become so profitable that it could not be better. 

We have given each other such valuable advice
For which there is no ascertainable price.
Our mutual support is non-cash consideration
Strengthening the merger that established our relations.

Since the moment you became my wife
Our love has not been an asset with a finite useful life. 
And it is essential for me to state
That our love will never depreciate.

That our love is intangible will be no surprise
But I promise that it will never amortize. 
Our love will never make losses, have no fear.
It will never need to be carried forward to the next tax year.

Your love pays me richly and will never end
As if it were a cumulative dividend.
And it is important for me to note
That we both have the equal right to vote
On all our decisions, which is only fair
As in our capital of love, we each possess an ordinary share. 

In accordance with the GmbH Law section 51a
It is important, here and now, for me to say.
I will always grant you access to all information you desire
Through total honesty, our love will get higher.

And in accordance with the AG law Section 89
I will grant a loan to you of everything which is mine
Any time you wish and every single day
With zero percent interest, the principal you need never repay. 

We must not assign to a third party any affection.
Nor factor our feelings like a debt due for immediate collection.
Our arms-length relationship is a valuable chattel such as a bottle of fine wine
That today we drink together my dear Valentine. 

It is completely beyond my imagination 
That our love will ever go into liquidation.
I will always pay on time my debts of love to you, and you will pay yours to me.
So we can never experience insolvency. 

One thing you should never beware 
That one day I will seek to collect your share
Pursuant to the applicable law
On the GmbH, section thirty four.  

Today I give you the LVVP
Which is a defined term as you can clearly see.
Our love has no superfluous words or ambiguity.
You are an asset that will exceed all liabilities
On the balance sheet of life for you and me.
